"Dear Sir/Madam,
On 29 September 2023, the Malta Financial Services Authority (the "MFSA” or the ''Authority'') issued a Public Notice in relation to MTACC Ltd (the ''Institution” or "MTACC”) informing the general public that on the 25 September 2023 the Institution's license had been suspended with immediate effect.
The Public Notice additionally informed the general public that PwC Advisory Services Malta Limited (''PwC'' or "the Competent Person”) was appointed as the Competent Person for the Institution and the Competent
Person was assigned the power to:
1. Take charge of the Institution's assets for the purpose of safeguarding the interests of the integrity of the financial system in Malta; and
2. Take over the Institution's business, either to carry on that business, or to carry out such other function or functions in respect of such business or part thereof, as the competent authority may direct.
The Competent Person's measures since appointment comprised steps to attain the following objectives:
1. Obtain access to all the Institution's operational and financial systems developed by the Institution's former management team;
2. Update the financial records of the Institution to establish the current accurate financial position of the Institution;
3. Confirm the Institution's arrangements in respect of safeguarding of customers' assets and client monies; and
4. Obtain information directly from the financial institutions which hold the Institution's customers' assets and client monies, and the Institution's own funds.
Access to MTACC's IT infrastructure
Despite numerous attempts by the Competent Person to acquire access to MTACC's systems, including access to information containing client list and balances, the Competent Person was never granted access by the Institution's former management team and the Institution's Ultimate Beneficial Owner.
MTACC's financial position, balances with customers and responsibilities around safeguarding of client monies
Despite the difficulties encountered in obtaining access to the Institution's IT infrastructure, the Competent Person updated the Institution's financial records to determine the Institution's updated financial position by reference to information which was available in the circumstances.
The Competent Person determined that the updated accounting records and the Institution's financial position indicate the Institution's technical insolvency, with total liabilities exceeding total assets. Accordingly, the Company is unable to meet its liabilities, and the Competent Person has been directed by the Authority in terms of Article 7B of the Financial Institutions Act and Article 16 of the MFSA Act to file a winding up application at the Maltese Law Courts in terms of Article 214 (2) (a) (ii) of the Companies Act.
The updated accounting records indicate that the Institution has not safeguarded funds attributable to clients in an appropriate and effective manner prior to 29 September 2023, and accordingly the Institution is not in a position to meet its liabilities to customers in the form of balances on e-money and payment accounts. The Institution is not in a position to give effect to any withdrawals of funds attributable to customers, as requested by customers.
Additionally, the Competent Person continues to register differences between the amounts claimed by the Institution's customers and the amounts due to such customers as per the Institution based on the information available, with such differences being unexplainable in certain instances, even subsequent to investigations, in view of the limitations highlighted above.
